End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal contract between you (“User” or “you”) and KORRELATE INC (“we,” “us,” or “our”) governing your access to and use of our website (the “Website”) and related services, including but not limited to our proprietary Data Maturity Roadmap, Data Maturity Assessment Tool, and other descriptions, content, and software available through the Website (collectively, the “Services”).
PLEASE READ THIS AGREEMENT CAREFULLY.
BY ACCESSING OR USING THE WEBSITE OR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE WEBSITE OR SERVICES.
1. Introduction and Scope
This Agreement governs:
- Your use of the KORRELATE INC Website, including its features, content, and design.
- Access to the proprietary Data Maturity Roadmap and Data Maturity Assessment Tool, which are intellectual property of KORRELATE INC.
- Any support, updates, or additional services provided by KORRELATE INC.
KORRELATE INC reserves the right to update this Agreement at any time. Any changes will be posted on the Website, and continued use of the Services constitutes acceptance of the updated terms.
2. Grant of License
2.1 License Grant
KORRELATE INC grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to:
- Access and use the Website solely for informational purposes and internal business evaluation.
- Use the Data Maturity Assessment Tool to evaluate your organization's data capabilities.
- Access and download resources, where explicitly allowed, for internal and non-commercial use.
2.2 Restrictions
You agree that you will not:
- Copy, modify, distribute, sell, or lease any part of the Website, Services, or their associated intellectual property.
- Reverse engineer, decompile, disassemble, or attempt to extract the source code of any software or tool made available through the Website.
- Use the Services to build or contribute to competing products or services.
- Use the Website or Services for unlawful, harmful, or unauthorized purposes.
3. Intellectual Property
3.1 Ownership
KORRELATE INC owns all intellectual property rights in the Website, the Data Maturity Roadmap, the Data Maturity Assessment Tool, and all associated documentation, designs, and algorithms, including but not limited to copyrights, patents, trade secrets, and trademarks.
3.2 User Contributions
If you submit any feedback, suggestions, or ideas regarding the Website or Services (“Feedback”), you grant KORRELATE INC a non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, modify, and incorporate such Feedback into the Services without further obligation to you.
4. Use of the Data Maturity Assessment Tool
4.1 Tool Access and Usage
The Data Maturity Assessment Tool is provided for your organization’s internal use to assess your data capabilities and maturity. Results generated by the tool are for informational purposes only and should not be construed as professional advice.
4.2 Data Accuracy and Responsibility
You are responsible for providing accurate data and inputs when using the tool. KORRELATE INC is not liable for inaccurate assessments resulting from erroneous, incomplete, or misleading information provided by you.
5. Privacy and Data Protection
5.1 Data Collection
KORRELATE INC may collect personal and organizational data during your use of the Website and Services. This data is processed in accordance with our Privacy Policy.
5.2 Confidentiality
KORRELATE INC will maintain the confidentiality of any sensitive organizational data submitted through the assessment tool and will not disclose such data to third parties without your explicit consent, except as required by law.
6. Limitation of Liability
6.1 Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
6.2 Limitation of Damages
KORRELATE INC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM OR RELATING TO THE USE OF THE WEBSITE OR SERVICES, INCLUDING LOSS OF PROFITS OR BUSINESS INTERRUPTION.
7. Indemnification
You agree to indemnify, defend, and hold harmless KORRELATE INC, its officers, employees, and affiliates from any claims, liabilities, damages, or expenses arising from:
- Your use or misuse of the Website or Services.
- Your breach of this Agreement.
- Any data or content you provide that infringes the rights of a third party.
8. Termination
8.1 Termination by KORRELATE INC
KORRELATE INC reserves the right to terminate or suspend your access to the Website and Services at its sole discretion, with or without notice, for any violation of this Agreement.
8.2 Effect of Termination
Upon termination, your right to access the Website and Services will immediately cease. All provisions of this Agreement that by their nature should survive termination will remain in effect, including but not limited to ownership, confidentiality, and limitation of liability.
9. Dispute Resolution
9.1 Governing Law
This Agreement shall be governed by and construed under the laws of Ontario, Canada, without regard to its conflict of law provisions.
9.2 Arbitration
All disputes arising out of or relating to this Agreement or the Services shall be resolved exclusively through binding arbitration administered by ADR Institute of Canada (ADRIC) under its rules. Any arbitration shall take place in Ontario, Canada.
9.3 Class Action Waiver
You agree that any claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
10. Miscellaneous
10.1 Force Majeure
KORRELATE INC is not liable for any failure to perform due to causes beyond its reasonable control, including natural disasters, cyberattacks, labor disputes, or governmental actions.
10.2 Assignment
You may not assign this Agreement or your rights and obligations under it without KORRELATE INC’s prior written consent. KORRELATE INC may freely assign its rights and obligations without notice.
10.3 Entire Agreement
This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and KORRELATE INC regarding the Website and Services.
10.4 Severability
If any provision of this Agreement is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
